3. User Eligibility

Late or failed payments may result in suspension of services.
5. Client Responsibilities
Clients agree to:
Provide accurate and timely information
Cooperate with onboarding and service requests
Not misuse automations or violate spam/email/SMS regulations
Maintain valid payment methods
We reserve the right to suspend services if you breach any of these terms or applicable laws.
6. Intellectual Property
All content, branding, systems, processes, and software provided by OptiTask AI Community are the intellectual property of the Company and may not be copied, resold, or redistributed without prior written permission.
Clients may use deliverables (e.g., content, copy, funnels, workflows) for internal business use only unless otherwise agreed upon in writing.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and business-sensitive information. This includes, but is not limited to, customer data, internal strategies, software configurations, and marketing plans.
8. Data Use & Privacy
We collect and use data in accordance with our Privacy Policy. Users are responsible for ensuring their use of our tools complies with local data protection laws (e.g., GDPR, CCPA).
9. Prohibited Use
You agree not to use the Site or Services to:
Engage in spamming or mass unsolicited communications
Promote illegal products or services
Attempt to reverse engineer or exploit system vulnerabilities
Misrepresent your identity or impersonate others

10. Termination

Lead/sales performance
Service uptime or system integrations
Compatibility with all third-party tools
We are not liable for delays or interruptions caused by third-party providers or internet disruptions.
12. Limitation of Liability
To the fullest extent permitted by law, OptiTask AI Community shall not be liable for any indirect, incidental, special, or consequential damages — including loss of profits, data, or business opportunities — arising from your use of our Services.
Our maximum liability in any claim will not exceed the total amount paid to us by you in the preceding 30 days.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Nebraska, United States, without regard to conflict of laws. Any disputes must first be attempted to be resolved in good faith. If unresolved, they will be handled via binding arbitration in Omaha, Nebraska.
14. Modifications
We reserve the right to update or modify these Terms at any time. Changes will take effect immediately upon posting. It is your responsibility to review the Terms periodically.
